Acceptance of Terms

By accessing or using authe's services, website, or platform (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and authe ("Company," "we," "us," or "our"). We reserve the right to modify these Terms at any time. Continued use of the Service following any changes constitutes acceptance of the revised Terms.

Service Description

authe provides an asset authentication platform that enables businesses and individuals to create, manage, and verify unique authentication identifiers ("autheIDs") for physical products. Our Service includes:

  • Generation of unique autheIDs linked to blockchain records
  • QR code and label generation for asset authentication
  • AI-assisted verification and analysis tools
  • Consumer-facing verification interfaces
  • Analytics and tracking dashboards
  • Balance management for service usage

License Grant

Subject to your compliance with these Terms, authe grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

  • You may not sublicense, sell, resell, or transfer the Service to any third party
  • You may not modify, copy, or create derivative works based on the Service
  • You may not reverse engineer, disassemble, or decompile any part of the Service
  • You may not use the Service to build a competing product or service
  • You may not remove or alter any proprietary notices or labels on the Service
  • You may not use the Service in violation of any applicable laws or regulations

This license does not grant you any ownership rights in the Service. All rights not expressly granted herein are reserved by authe.

Service Modifications

authe reserves the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We may also update pricing, features, or functionality as needed.

  • We may add, remove, or modify features without prior notice
  • Pricing changes will be communicated at least 30 days in advance for existing users
  • We may temporarily suspend the Service for maintenance or updates
  • We may discontinue the Service entirely with 90 days notice to active users
  • API endpoints and integrations may change; we will provide reasonable migration periods

We will make reasonable efforts to communicate significant changes via email or in-platform notifications. Continued use of the Service after modifications constitutes acceptance of the changes.

System Reliability & autheID Availability

IMPORTANT DISCLAIMER REGARDING SYSTEM AVAILABILITY

While we strive to maintain high availability and reliability of our Service, you acknowledge and agree that:

  • The Service is provided on an "as is" and "as available" basis without warranties of any kind
  • We do not guarantee uninterrupted, secure, or error-free operation of the Service
  • System failures, maintenance, updates, or technical issues may temporarily or permanently affect access to autheIDs
  • Blockchain network congestion, failures, or changes may impact autheID verification
  • Third-party service disruptions may affect the availability of your data

No Liability for autheID Loss

authe shall not be held liable for any loss, inaccessibility, or corruption of autheIDs resulting from system failures, technical malfunctions, cyber attacks, force majeure events, blockchain network issues, or any other circumstances beyond our reasonable control. This includes but is not limited to loss of business, revenue, reputation, or any consequential damages arising from the unavailability of autheIDs or the Service.

You are solely responsible for maintaining backup records of your product data and autheID assignments. We strongly recommend keeping independent records of all autheID-to-product associations.

Platform Testing Requirement

MANDATORY PRE-DEPLOYMENT TESTING

Before attaching autheIDs to any physical products or deploying the Service in a production environment, you MUST:

  • Thoroughly test the platform using test autheIDs and non-production products
  • Verify that QR codes scan correctly across multiple devices and lighting conditions
  • Confirm that your workflow integrates properly with your existing systems
  • Test the consumer verification experience end-to-end
  • Validate label printing quality and durability for your specific use case
  • Ensure your team is adequately trained on platform usage

User Responsibility

By attaching an autheID to a physical product, you acknowledge that you have completed adequate testing and accept full responsibility for the integration. authe provides testing environments and support resources to facilitate this process. We are not liable for any issues arising from inadequate testing or premature production deployment.

AI-Generated Content & Analysis

AI RESPONSE DISCLAIMER

Our Service incorporates artificial intelligence and machine learning technologies to provide authentication analysis, product verification insights, and user assistance. Regarding AI-generated content, you understand and agree that:

  • AI responses are provided for informational and guidance purposes only
  • AI analysis should not be considered as definitive authentication judgments
  • AI outputs may contain errors, inaccuracies, or inconsistencies
  • AI-generated authenticity assessments are probabilistic, not absolute
  • Human judgment should supplement AI analysis for critical decisions
  • AI models may change over time, affecting consistency of outputs

No Liability for AI Outputs

authe expressly disclaims all liability for decisions made based on AI-generated content, analysis, or recommendations. We do not warrant the accuracy, completeness, or reliability of any AI outputs. Users should not rely solely on AI analysis for authentication decisions, especially in high-value or legally significant contexts. Any reliance on AI outputs is at your own risk.

For high-stakes authentication needs, we recommend combining AI analysis with physical inspection, provenance documentation, and expert consultation.

Payment Processing & Balance Funds

Important
IMPORTANT: FUND CUSTODY DISCLOSURE

authe uses Stripe, Inc. ("Stripe") as our payment processor and fund custodian. Regarding your balance and payments:

Fund Custody

All balance funds, pre-paid credits, and monetary deposits are held and managed by Stripe, not by authe. authe does not hold, store, or have custody of your funds at any time. Your balance represents credits for service usage and is maintained in Stripe's systems in accordance with their terms of service and applicable financial regulations.

  • Payments are processed directly through Stripe's secure infrastructure
  • Balance funds are held in Stripe-managed accounts, not authe bank accounts
  • Refund processing is subject to Stripe's policies and timelines
  • Currency conversion and fees are determined by Stripe
  • Fund availability is subject to Stripe's terms and any applicable holds
  • authe has no control over Stripe's operational decisions regarding funds

Account Balance & Service Credits

SERVICE CREDITS ARE NOT STORED MONETARY VALUE

Your account balance represents prepaid service credits for autheID generation services only. Service credits:

  • Are non-refundable except in cases of service failure
  • Are non-transferable between accounts
  • Cannot be redeemed for cash or monetary equivalent
  • Do not accrue interest
  • Expire 24 months after purchase if unused

Legal Classification

Service credits do not represent stored monetary value. enable4all ZZP is not acting as an electronic money issuer or payment service provider with respect to service credits. Credits are prepaid rights to use autheID generation services and have no value outside of the authe platform.

In cases of service failure (e.g., blockchain transaction failure, system error preventing autheID generation), credits will be refunded to your account balance. Cash refunds are only available as required by applicable law or at authe's sole discretion.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

Exclusion of Damages

authe, its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, regardless of whether we have been advised of the possibility of such damages.

  • Loss of business or anticipated savings
  • Asset authentication failures or misidentifications
  • Business interruption or operational delays
  • Loss of data or system restoration costs
  • Reputational damage or brand impact
  • Third-party claims against you
  • Regulatory fines or compliance costs

Maximum Liability Cap

In no event shall authe's total cumulative liability exceed the greater of (a) the amounts paid by you to authe in the twelve (12) months preceding the claim, or (b) one hundred euros (€100). This limitation applies regardless of the theory of liability (contract, tort, strict liability, or otherwise).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

User Obligations

As a user of the Service, you agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Use autheIDs only for legitimate authentication purposes
  • Not use the Service for counterfeit or fraudulent activities
  • Comply with all applicable laws and regulations
  • Not attempt to reverse-engineer or compromise the Service
  • Report any security vulnerabilities responsibly
  • Respect intellectual property rights

Violation of these obligations may result in immediate termination of your account and access to the Service, forfeiture of any balance credits, and potential legal action.

Account Termination

Either party may terminate this agreement and your account at any time, subject to the following provisions:

  • You may close your account at any time through your account settings or by contacting support
  • Upon termination, you will lose access to the Service and your autheIDs
  • Any remaining balance credits are non-refundable unless required by law
  • You remain responsible for any outstanding fees or charges
  • We may suspend or terminate your account for violation of these Terms
  • We may terminate accounts for fraudulent, illegal, or harmful activities
  • We may terminate for non-payment or suspected payment fraud
  • We may terminate if required by law or regulatory authorities
  • We may terminate inactive accounts after 24 months of inactivity with 30 days notice

Effect of Termination

Upon termination: (1) your license to use the Service immediately ends; (2) we may delete your account data after 30 days; (3) blockchain records containing your autheID hashes will remain permanent; (4) provisions that by their nature should survive termination will remain in effect, including limitation of liability, indemnification, and governing law sections.

Indemnification

You agree to indemnify, defend, and hold harmless authe and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your products or services that incorporate autheIDs
  • Any claims by consumers regarding authenticated products
  • Your failure to comply with applicable laws or regulations

Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in Amsterdam, Netherlands, in accordance with the rules of the Netherlands Arbitration Institute (NAI). The arbitration shall be conducted in English.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

Severability & Waiver

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms.

  • The invalidity of any provision shall not affect the validity of remaining provisions
  • Remaining provisions shall continue in full force and effect
  • The invalid provision shall be replaced with a valid provision that most closely achieves the original intent

The failure of authe to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of authe to be effective.

Intellectual Property & Trademarks

All intellectual property rights in the Service, including but not limited to software, algorithms, user interfaces, documentation, and content, are owned by or licensed to authe and are protected by applicable intellectual property laws.

Trademark Notice

"authe" and the authe logo are registered trademarks of authe. All rights reserved. You may not use, reproduce, or display these trademarks without prior written consent from authe. Unauthorized use of our trademarks is strictly prohibited and may constitute trademark infringement under applicable law.

Nothing in these Terms grants you any right, title, or interest in or to any of authe's intellectual property, except for the limited license to use the Service as expressly permitted herein.
